When a quote or proforma has legal weight

A quotation in Thailand gains legal weight mainly when it turns into a contract. A contract of hire of work, meaning a contractor agrees to do a job for a fee, is an instrument under item 4 of the Stamp Duty Schedule in the Revenue Code. Duty is THB 1 for every THB 1,000 (or part) of the remuneration. If the fee is not fixed when the contract is signed, duty is paid on a reasonable estimate. If the fee comes in instalments and the duty already paid does not cover it, more duty is paid as each payment arrives. A contract signed outside Thailand and performed outside Thailand is exempt.

An instrument signed in Thailand that has not been stamped can still be put right: the Revenue Department accepts it for payment at the plain rate if it is brought within 15 days of the date it had to be stamped (Revenue Code s.113). After that the surcharge is twice the duty (at least THB 4) up to 90 days, and five times the duty (at least THB 10) beyond 90 days. Until the duty is paid, an unstamped instrument cannot be used as evidence in a civil case (s.118). Put the validity period, the total price including VAT and the scope on the quotation, so that the signed version can serve as the contract.

Public bodies buy under the Public Procurement and Supplies Administration Act B.E. 2560 and the Ministry of Finance regulation under it, where a price quotation (ใบเสนอราคา) has a defined place. Under the 2017 regulation, an e-market purchase in which suppliers submit price quotations covers a single purchase above THB 500,000 and up to THB 5,000,000; above THB 5,000,000 the e-market works by electronic auction. For catalogue-free items above THB 500,000 the method is e-bidding. Small purchases of ordinary goods or services below a ceiling set by ministerial regulation can use the specific method (s.56(2)(ข)), where the buyer negotiates a price directly with one supplier.
