When a quote or proforma has legal weight

A Polish quote has legal weight mainly under the Civil Code. A price list or advertisement is only an invitation to contract, not an offer (art. 71), while a statement that sets out the essential terms of a contract is an offer (art. 66). An offer made electronically binds the sender once the other side promptly confirms receipt (art. 66[1]).

For works contracts the quote decides how the price can move. Under a cost estimate (wynagrodzenie kosztorysowe), the contractor can demand more for unforeseen work only if the client drew up the estimate or the work could not have been foreseen with due care (art. 630). Under a lump sum (wynagrodzenie ryczałtowe), the contractor cannot demand an increase even if the scope could not be foreseen (art. 632), and a court can adjust only where an unforeseeable change threatens a gross loss.

Public procurement law applies to classic contracts worth 170,000 zł or more (art. 2 ust. 1 pkt 1 of the Public Procurement Law); below that value a request for quotation is a matter for the buyer's own rules.
